Who Needs to File a Biennial Report?
Domestic and foreign corporations and LLCs are required to file an Alaska biennial report every other year after the year the company was formed.

What is Needed to File an Alaska LLC Biennial Report
You have the option of filing your Alaska LLC Biennial Report online or by mail. To file online, visit the Alaska Division of Corporation, Business & Licensing’s website, otherwise, you can fill out LLC Form 50.1. and mail in with payment.
Before starting on the report, be sure to have your LLC’s Entity Number available. The Entity Number can be found by visiting the Alaska Division of Corporations, Business & Licensing.
Alaska Biennial Report Fee
The filing fee for an Alaska LLC Biennial Report is $100.
Biennial Report Due Date
The Biennial Report is due January 2nd every other year from the date of filing of the LLC Initial Report.
If you initially filed in an even-numbered year, the Biennial Report will be due in January of every even-numbered year. If you initially filed in an odd-numbered year, the Biennial Report will be due in January of every odd-numbered year.
While the state will send a reminder, you should also put a reminder on your calendar just in case you don’t see it.
Penalty for a late Alaska LLC Biennial report
If the Biennial Report is not filed by February 1st, a late fee penalty of $37.50 will be assessed.
If this fee is not paid, Alaska’s Division of Corporation, Business & Licensing will administratively dissolve the LLC.

Even if your LLC received no income or had no business activity, the annual report is still required to be filed.
What happens if you don’t file the Biennial report on time?
If the Biennial Report is not filed in time, the LLC will no longer be considered to be in good standing with the state of Alaska. By not being in good standing, the members may be held personally liable should the LLC be sued.
