One requirement for maintaining a Limited Liability Company (LLC) or corporation in Washington is filing an Annual Report with the Secretary of State of Washington. The Report confirms and updates the company’s information each year.
The Annual Report is different from the Initial Report, which is due within 120 days of your entity’s formation.
Who needs to file an annual report?
Domestic and foreign corporations and LLCs in Washington are required to file an annual report each year after the year the company was formed.
How to File a Washington Annual Report
You can file your Corporation and LLC Annual Report online or by mail. To file online, visit the Washington Secretary of State’s website. Otherwise, you can download and fill out the Annual Report.
The report asks for information such as:
- Legal name of the entity
- Contact information for the Washington Registered Agent
- Principal office address of the entity
- Phone number and email of the business
- Nature of the business
- Name and address of the officers, directors, members, and/or managers
Processing is immediate when filing online or 7-10 business days when filing by mail.
Washington Annual Report Cost
A Washington LLC or corporation’s Annual Report filing fee is $60.
Annual Report Renewal Due Date
The Annual Report is due by the last day of the anniversary month the entity was formed. For example, if your LLC or Corporation was formed on June 1st, 2025, the deadline for the first Annual Report will be June 31st, 2026. The formation date can be found on the filed copy of your Articles of Incorporation (Corporations) or Certificate of Formation (LLC).
The Washington Secretary of State’s office emails a renewal notice reminder before the Annual Report due date. Even though a renewal notice is sent, it’s important to make an additional reminder for yourself should you not receive it.
Washington Annual Report FAQs
My business made little or no money. Do I still have to file the Washington Annual Report?

What happens if you don’t file the Annual Report on time?
