One requirement of maintaining an LLC or corporation in Georgia is filing an Annual Registration, commonly known in many states as an Annual Report. The Annual Registration is used to confirm and update the company’s information, each with the Georgia Secretary of State, such as the name and address of the registered agent and principal office address.

Who Needs to File an Annual Report?

Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.

What is Needed to File a Georgia Annual Registration

You have the option of filing the Annual Registration online through the Georgia Secretary of State’s website or by mail. 

The report asks for information such as:

  • Legal business name of the entity
  • The entity’s Secretary of State Control Number.  You can find your Control Number by doing a Georgia entity search on the Georgia Secretary of State Business Database.
  • Name, Title, and Address of the Principals
  • Name and physical address (P.O. Boxes are not allowed) of the Georgia Registered Agent

How to File the Annual Registration

The annual registration can be filed online at https://ecorp.sos.ga.gov/ or by mail. 

Georgia Annual Registration Fee

When filing online, the Annual Registration filing fee for Georgia corporations and LLCs is $50.

Annual Registration Due Date

The Annual Report is due by April 1st each year and can be made as early as January 1st

The first annual report is due the year following formation. For example, if your Georgia LLC or corporation was formed on December 1, 2024, the deadline for the first Annual Report will be April 1, 2025. 

The Georgia Secretary of State’s office sends a reminder in January. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Annual Registration?

Even if your corporation or LLC received no income or business activity, the annual registration still needs to be filed.

What happens if you don’t file the Annual Registration on time?

If the Annual Registration is not filed by April 1st, a $25 late fee penalty will be assessed.

If the Annual Registration is not filed within 60 days, the entity will lose its good standing status and be administratively dissolved by the state.  If the entity continues operating while dissolved, the owners may be held personally liable should the LLC or corporation be sued.
