Who Needs to File an Annual Report?
Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.
What is Needed to File a Kentucky Annual Report
All businesses must file an annual report and will receive an annual report reminder postcard in January. Businesses have from January 1 through June 30 of that year to return the completed card to the Office of the Secretary of State or to file the report online.
To file online, visit the Kentucky Secretary of State’s website. Otherwise, you can fill out the Annual Report form sent by mail or download and fill out an Annual Report.
The report asks for information such as:
- Legal name of the business
- Name, title, and address of the officers, directors, members, and/or managers
The process is immediate when filing online, but it can take up to one week when filing by mail.

The Annual Report filing fee for the Corporation and LLC in Kentucky is $15.
Annual Report Due Date
The Annual Report deadline is June 30th each year and can be made as early as January 1st.
The first annual report is due in the year following formation. For example, if your Kentucky LLC or Corporation was formed on January 1, 2025, the deadline for the first Annual Report will be January June 30th, 2026.
The Kentucky Secretary of State’s office mails a reminder that the Annual Report is due. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money. Do I still have to file the Annual Report?
Even if your Kentucky corporation or LLC has received no income or business activity, the Annual Report still needs to be filed.
What happens if you don’t file the Annual Report on time?
While there is no late fee for the Annual Report, if it is not filed by June 30th, the Secretary of State will place the entity in bad standing. Not being in good standing may make it difficult for the entity to prove its existence when signing up with new vendors, loans, etc.
If the Annual Report isn’t filed by August 31st, the business entity will be administratively dissolved, or its authority to conduct business in Kentucky will be revoked.
How do you change a Kentucky Registered Agent?
While the Kentucky Annual Report form asks for the registered agent’s name and address, the Kentucky Registered Agent can’t be updated on this form.
To update the Registered Agent’s information, fill out a Statement of Change Form. There is a filing fee to make the change.
