One of the requirements of maintaining a Limited Liability Company (LLC), corporation, or Limited Liability Partnership (LLP) in Minnesota is filing an Annual Renewal, referred to as an Annual Report in most states. What is Needed to File a Minnesota Annual Renewal
You have the option of filing your Corporation and LLC Annual Renewal online or by paper form. To file online, visit the Minnesota Secretary of State website; otherwise, you can fill out the paper form that is mailed or download it and fill out the Annual Renewal Form.
The report asks for information such as:
- File Number – Find your File Number by searching your business name on the Minnesota Secretary of State’s website.
- Business name
- Business address
- Name and office address of the Minnesota Registered Agent
- Name and address of the Principal Executive

Annual Renewal Due Date
The Annual Renewal is due by December 31st each year and can be made as early as January 1st.
The first annual report isn’t due until the year following formation. For example, if your Minnesota LLC or Corporation was formed on November 1, 2021, the deadline for the first Annual Filing will be December 31st, 2022.
The Minnesota Secretary of State’s office sends reminder emails approximately two months before the Annual Filing due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

How do you change a Minnesota Registered Agent?
While the Annual Filing asks for the Registered Agent’s name and address, the Registered Agent can’t be updated on this form.
To update the registered agent’s information, complete a Change of Registered Office/Registered Agent Form. There is a $35 filing fee.
What happens if you don’t file the Annual Renewal on time?
While there are no late fees or penalties for filing the Annual Renewal late, the Minnesota Secretary of State will administratively dissolve the entity by January 1st.
My business made little or no money. Do I still have to file the Annual Renewal?
Even if your corporation or LLC received no income or business activity, the Annual Renewal still needs to be filed.
