One of the requirements of maintaining a Limited Liability Company or corporation in the state of Indiana is filing a Business Entity Report every two years. The Business Entity Report Form is used to confirm and update the company’s information with the Secretary of State.

Who Needs to File a Business Entity Report?

Domestic and foreign corporations, LLCs, and Limited Liability Partnerships are required to file an annual report every two years after the year the company was formed.

What is Needed to File an Indiana Business Entity Report

The Business Entity Report can either be filed online through your INBiz account or by filing and mailing Form 48725.

The report asks for information such as:

  • Business name
  • Principal office address of the business (No P.O. Boxes)
  • Name and street address (P.O. Boxes are not allowed) of the Indiana Registered Agent
  • Information of the Officers, Directors, or Shareholders

Business Entity Report Cost

The cost of the biennial Indiana Business Entity Report varies by entity type. For LLCs is $50 when filing by mail or a $31 filing fee when filed online, while corporations are $20 by mail or $31 for online filing.

The report is typically filed within 2-3 business days after arrival.

Due Date

The Business Entity Report is due every two years, before the last day of the anniversary month in which the Indiana LLC or Corporation was formed.

For example, if the LLC were formed on June 12th, 2024, the deadline for the first biennial Business Entity Report would be due by June 30, 2026.

The earliest the biennial report can be filed is 1 month before the due date.

While the state will send a reminder, you should also put a reminder on your calendar just in case you don’t receive it.

My business made little or no money. Do I still have to file the Business Entity Report?

Even if your Corporation or LLC received no income or had no business activity, the report is still required to be filed.

What happens if you don’t file the Business Entity Report on time?

The state provides a 120-day grace period to get the report filed. However, the penalty for a late filing is losing its status of good standing and eventually will have an administrative dissolution action by the state. If the entity were to continue operating while dissolved, the owners may be held personally liable should the LLC or corporation be sued.
