One requirement of maintaining a Limited Liability Company (LLC), Limited Liability Partnership (LLP), or corporation in Nebraska is filing a Biennial Report with the Nebraska Secretary of State. The Biennial Report confirms and updates the company’s information every other year.

Who Needs to File a Biennial Annual Report?

Domestic and foreign corporations, LLCs, and LLPs are required to file a biennial report every other year after the year the company was formed.

What is Needed to File a Nebraska Biennial Report

The Biennial Report can only be filed online by visiting the Nebraska Secretary of State’s website.

The report asks for information such as:

  • Legal name of the entity
  • Entity Account Number – Find your Account Number by doing a Nebraska entity search with the Secretary of State.
  • Name and street address of the Nebraska Registered Agent
  • Principal office address
  • Name and address of the officers, directors, members, and/or managers
  • Brief description of the business activities

Nebraska Biennial Report Cost

The filing fee for a Biennial Report in Nebraska varies on the type of business entity.

Corporations: Based on the value of capital stock – $26 minimum fee

LLCs and LLPs: $13

Biennial Report Due Date

The State of Nebraska has different deadlines depending on the business entity.

Corporations: The Biennial Report is due for Nebraska corporations by March 1st, every even-numbered year, starting after the year the Corporation was formed.

LLC and LLP: The Biennial Report is due for Nebraska LLCs and LLPs between January 1st and April 1st every odd-numbered year, starting after the LLC was formed.

The Nebraska Secretary of State’s office emails a reminder to the Registered Agent before the report’s due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Biennial Report?

Even if your Corporation or LLC received no income or business activity, the Biennial Report still needs to be filed.

What happens if you don’t file the Biennial Report on time?

While there isn’t a fee for late filing, the business entity will lose its good standing status after the filing deadline. If the Biennial Report isn’t filed before June 1st, the Nebraska Secretary of State will consider the entity delinquent and administratively revoked.
