One requirement of maintaining a Limited Liability Company (LLC) or corporation in Oklahoma is filing an Annual Certificate. The Certificate, known as an Annual Report in most states, confirms and updates the company’s information each year with the Oklahoma Secretary of State.

Who Needs to File an Annual Certificate?

Domestic and foreign corporations and LLCs are required to file an annual certificate each year after the year the company was formed.

What is Needed to File an Oklahoma Annual Certificate

You can file your Corporation and LLC Annual Certificate online or by mail. To file online, visit the Oklahoma Secretary of State’s website; otherwise, you can download and fill out the Annual Certificate Form.

The report asks for information such as:

  • Entity Filing Number – Find your Filing Number from the Secretary of State, enter your business name, and the Filing Number is the first field.
  • Business name
  • Street address of the principal place of business

Processing typically takes 1-2 business days when filing online or 5-7 business days when filing by mail.

Oklahoma Annual Certificate Fee

The Oklahoma Annual Certificate filing fee for the Corporation varies based on the number of shares authorized, with a minimum fee of $99.  Filing the LLC Annual Certificate costs $25.

Annual Certificate Due Date

The due date of the Annual Certificate varies based on the type of business entity.

Corporations: Oklahoma corporation Annual Certificates are due by July 1st. The first annual report is due the year following formation. For example, if your corporation was formed on April 1, 2025, the deadline for the first Annual Certificate will be July 1st, 2026. 

LLCs: Oklahoma LLC annual Certificates are due by the anniversary date of formation. For example, if your LLC was formed on April 1, 2025, the first Annual Certificate will be due on April 1, 2026. 

The Oklahoma Secretary of State’s office emails a reminder before the Annual Certificate due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Oklahoma Annual Certificate?

The Annual Certificate must be filed even if your Oklahoma Corporation or LLC received no income or business activity.

What happens if you don’t file the Annual Certificate on time?

While there are no penalties for filing the Annual Certificate late, the entity loses its good standing status with the state if the report isn’t filed within 60 days after the due date. Not being in good standing may make it difficult for the entity to prove its existence when signing up with new vendors, loans, etc., and eventually result in the administrative dissolution of the entity by the Oklahoma Secretary of State.

How do you change the Registered Agent?

To update the Oklahoma Registered Agent’s information, complete a Change or Designation of Registered Agent and/or Registered Office– Form 0056-07/12. The filing fee is $25.
