What is a Wyoming Annual Report?

One of the requirements of maintaining a Limited Liability Company (LLC) or corporation in Wyoming is filing an Annual Report.  The Annual Report is used to confirm and update the information of business entities each year with the Wyoming Secretary of State.

Who Needs to File an Annual Report?

Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.

How to File a Wyoming Annual Report?

You have the option of filing your Corporation and LLC Annual Report online or by mail. To file online, visit the Wyoming Secretary of State’s website, otherwise, you can download and fill out the Annual Report. You will need your Filing ID number from the Secretary of State, which can be found by doing a Wyoming Name Search Database.

The report asks for information such as:

  • Legal name of the entity
  • Principal office address
  • Contact information of the Registered Agent
  • Financial information of the business (
  • Name and address of the officers, directors, members, and/or managers

Processing is immediate when filing online or 3-5 business days when filing by mail.

The completed annual report and filing fee can be mailed to:

Wyoming Annual Report Fee

There is a $50 filing fee for the Wyoming Annual Report for businesses with less than $250,000 in Wyoming assets. A convenience fee will be added to online filings.

Additionally, there is a License Tax fee based on a calculation using the entity’s total assets.

Annual Report Due Date

The deadline for the Annual Report is the first day of the anniversary month the entity was formed. For example, if the initial filing date of your Wyoming LLC or Corporation was June 1, 2021, the first Annual Report will be due June 1st, 2022.

The Secretary of State’s office emails three reminders in advance of the Annual Report due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Annual Report?

Even if your Corporation or LLC received no income or had no business activity, the Annual Report is still required to be filed.

What happens if you don’t file the Annual Report on time?

While there isn’t a late fee if the Annual Report isn’t filed on time, if the report isn’t filed within 60 days of the due date, the entity will be administratively dissolved by the Secretary of State.

    1. Hi Mark – To keeps the owners of an LLC anonymous when filing the annual report in Wyoming, have the registered agent file the report on your behalf. This way the names of the owners off of public record.
