One requirement for maintaining an LLC or corporation in Louisiana is filing an Annual Report. The Report confirms and updates the company’s information each year with the Louisiana Secretary of State, such as the name and address of the registered agent and the name and address of members, directors, or officers.

Who Needs to File an Annual Report?

Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.

What is Needed to File a Louisiana Annual Report

You can file your Louisiana LLC or Corporation Annual Report online or by mail. To file online, visit the Secretary of State’s website geauBIZ. Otherwise, you can download and fill out an Annual Report

The report asks for information such as:

Filing is immediate for online filings or up to 2-3 business days when filing by mail.

Louisiana Annual Report Filing Fee

The Annual Report filing fee for Corporations and LLCs is $35.

Annual Report Due Date

The annual report deadline is each year based on the entity’s anniversary date.  

For example, if your LLC or Corporation was formed on January 1st, 2025, the deadline for the first Annual Report will be January 1st, 2026.  Filings may be made up to 30 days in advance.

The Louisiana Secretary of State’s office emails a reminder approximately 30 days before the Annual Report due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Annual Report?

Even if your corporation or LLC has received no income or business activity, the annual report still needs to be filed.

What happens if you don’t file the Annual Report on time?

While there is no late fee for the Annual Report, if it is not filed by June 30th, the business will no longer be in good standing. Not being in good standing may make it difficult for the entity to prove its existence when signing up with new vendors, loans, etc. The Secretary of State will administratively dissolve the business if the Annual Report is not filed within three years.
