One requirement for maintaining a corporation in Missouri is filing an annual report. Unlike most states, a Missouri LLC does not need to file an annual report. The Report is used to confirm and update the company’s information each year with the Missouri Secretary of State.

Who Needs to File an Annual Report?

Foreign and domestic corporations are required to file an annual report each year after the year the company was formed.

Missouri LLCs are not required to file an annual report.

What is Needed to File a Missouri Annual Report

You can file your Corporation’s Annual Report online or by mail. To file online, visit the Missouri Secretary of State’s website; otherwise, you can download and fill out the Annual Report.

Missouri Annual Report Fee

The Annual Report filing fee for a Missouri Corporation is $20 online or $45 for mailed-in forms.

Annual Report Due Date

The Annual Report is​​​ due at the end of the month the corporation was registered.

The first annual report isn’t due until the year following formation. For example, if your corporation was formed on January 1st, 2024, the deadline for the first Annual Report will be April 31st, 2025. 

The Secretary of State’s office emails a reminder before the Annual Report due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file a Missouri Annual Report?

The annual report must still be filed even if your corporation has received no income or business activity.

What happens if you don’t file the Annual Report on time?

If the Annual Report isn’t filed on time, a late fee penalty of $15 is assessed for each 30-day period the report is late. If the report isn’t filed within 90 days of the due date, the business entity will be subject to administrative dissolution by the Secretary of State.

How do you change a Missouri Registered Agent?

While the Missouri Annual Report form asks for the registered agent’s name and address, the Registered Agent can’t be updated on this form. 

Complete a Statement of Change of Registered Agent Form to update the Registered Agent’s information. There is a $10 filing fee to make the change.
