How to File a Wisconsin Annual Report

One of the requirements of maintaining an LLC or corporation in Wisconsin is filing an Annual Report.  The Annual Report is used to confirm and update the company’s information each year with the Wisconsin Department of Financial Institutions.

How to File a Wisconsin Annual Report

You have the option of filing your Corporation and LLC Annual Report online or by mail. To file online, visit the Wisconsin Department of Financial Institution’s website, the One Stop Business Portal.  Otherwise, you can download and fill out the Annual Report paper form.

The report asks for information such as:

  • Legal name of the entity
  • Principal office address
  • Contact information for the Registered Agent
  • Name and address of the officers, directors, members, and/or managers

Annual Report Cost

The Wisconsin Annual Report filing fee is $25.

Additionally, LLCs and corporations that elect to be taxed as a C corporation will also have to pay the state franchise tax. The franchise tax is 7.9% on the business’s net income, payable to the Wisconsin Department of Revenue.

Annual Report Due Date

The annual report deadline is the end of the anniversary quarter the entity was formed. Quarters are defined as every three months, so the first quarter is January 1 – March 31, quarter two is April 1 – June 30, and so on.   The filing dates are the last day of the quarter, March 31, June 30, September 30, and December 31.

For example, if your LLC or Corporation was formed on January 15, 2021 (first quarter), the first Annual Report will be due March 31st, 2022. 

The Wisconsin Department of Financial Institution’s office emails a reminder in advance of the Annual Report due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Annual Report?

Even if your Wisconsin LLC or Corporation received no income or had no business activity, the Annual Report is still required to be filed.

What happens if you don’t file the Annual Report on time?

While there are no late fees if the annual report isn’t filed on time, if the report isn’t within one year of the due date, the entity will be administratively dissolved by the state of Wisconsin.
