What is a Connecticut Annual Report

One of the requirements of maintaining an LLC or corporation in Connecticut is filing an Annual Report.  The Annual Report is used to confirm and update the company’s information with the Connecticut Secretary of State, such as the name and address of the registered agent and principal office address.

Who Needs to File an Annual Report?

Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.

What is Needed to File a Connecticut Annual Report

The only option of filing the Annual Report is online through the Connecticut Secretary of State’s website,

The report asks for information such as:

  • Legal name of the entity
  • Mailing address of the entity
  • The entity’s Secretary of State Document Number.  You can find your Document Number by doing a name search on the Connecticut Business Registry and look for the “Date Inc/Registration” field.
  • Name, Title, and Address of the Principals
  • Name and street address (P.O. Boxes are not allowed) of the Registered Agent

Connecticut Annual Report Fee

The Annual Report filing fee for a Corporation is $150 and $80 for the LLC.

Annual Report Due Date

The State of Connecticut has different deadlines depending on the business entity. 

Corporations: The Annual Report for a Corporation is due by the last day of the Anniversary month it was formed. 

For example, if your Corporation anniversary date was January 1, 2021, the deadline for the first Annual Report will be January 31st, 2022. 

LLC: The Annual Report for an LLC is due between January 31st and March 31st each year. 

For example, if your Corporation was formed on December 1, 2021, the first Annual Report will be due by March 31st, 2022.

​​The Secretary of State’s office sends a reminder approximately 1 month before the Annual Report is due. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Annual Report?

Even if your Corporation or LLC received no income or had no business activity, the Annual Report is still required to be filed.

What happens if you don’t file the Annual Report on time?

Unlike most states, if the Annual Report is not filed on time, a late fee is not assessed.

When the Annual Report is late, the entity is no longer in good standing with the State.  By not being in good standing, the owners may be held personally liable should the LLC or corporation be sued.  Eventually, without filing, the entity will be administratively dissolved by the Secretary of State.  After 15 months of not filing, the state will dissolve the entity.
