Who Needs to File an Annual Report?

What is Needed to File a Connecticut Annual Report

The report asks for information such as:
- Legal name of the entity
- Mailing address of the entity
- The entity’s Secretary of State Document Number. You can find your Document Number by doing a Connecticut entity search on the Connecticut Business Registry and lookinf for the “Date Inc/Registration” field.
- Name, Title, and Address of the Principals
- Name and street address (P.O. Boxes are not allowed) of the Connecticut Registered Agent

Annual Report Due Date
The State of Connecticut has different deadlines depending on the business entity.
Corporations: The Annual Report for a Corporation is due by the last day of the Anniversary month it was formed.
For example, if your Corporation anniversary date was January 1, 2024, the deadline for the first Annual Report will be January 31st, 2025.
LLC: The Annual Report for an LLC is due between January 31st and March 31st each year.
For example, if your Corporation was formed on December 1, 2024, the first Annual Report will be due by March 31st, 2025.
The Secretary of State’s office sends a reminder approximately 1 month before the Annual Report is due. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

Even if your Corporation or LLC received no income or had no business activity, the Annual Report is still required to be filed.
What happens if you don’t file the Annual Report on time?
Unlike most states, if the Annual Report is not filed on time, a late fee is not assessed.
When the Annual Report is late, the entity is no longer in good standing with the State. By not being in good standing, the owners may be held personally liable should the LLC or corporation be sued. Eventually, without filing, the entity will be administratively dissolved by the Secretary of State. After 15 months of not filing, the state will dissolve the entity.
