Filing an Annual Report is one requirement of maintaining an LLC or corporation in Hawaii. The Report confirms and updates the company’s information with the Hawaii Department of Commerce and Consumer Affairs, such as the name and address of the registered agent and principal office address.

Who Needs to File an Annual Report?

Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.

What is Needed to File a Hawaii Annual Report

You can file the Annual Report online through the Hawaii Business Express website or by mail. 

The report asks for information such as:

  • Legal business name 
  • Principal office address
  • Nature of the business
  • Name and street address (P.O. Boxes are not allowed) of the Hawaii Registered Agent
  • Name, Title, and Address of the members, managers, directors, or officers

The Annual Report filing fee for a corporation and LLC in Hawaii is $15.

Annual Report Due Date

The Annual Report is due in the year following the initial formation and is based on the registration date the Hawaii corporation or LLC was formed. 

For example:

If you formed your business entity in the 1st quarter (between January 1st and March 31st), the Annual Report deadline is due at the end of the quarter, which is March 31st each year.

An entity formed in the 2nd quarter (between April 1st and June 30th), the Annual Report is due June 30th each year.

An entity formed in the 3rd quarter (between July 1st and September 30th), the Annual Report is due September 30th each year.

An entity formed in the 4th quarter (between October 1st and December 31st), the Annual Report is due December 31st each year.

To find when your report is due, visit the Hawaii Annual Reports Portal, enter the name of your business, and click on the “View Complete BREG record” to see the report due date.

The Hawaii Department of Commerce and Consumer Affairs sends a postcard on the 15th of the quarter’s first month when the Annual Report is due. For an additional $2.50 per year, you can optionally sign up for an email reminder from the state. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Annual Report?

Even if your Hawaii LLC or corporation received no income or business activity, the Annual Report still needs to be filed.

What happens if you don’t file the Annual Report on time?

If the Annual Report is not filed by the due date, a late fee penalty of $10 will be assessed each year it is late.

If the Annual Report is not filed on time, the entity will lose its good standing status, which may put the owners legally at risk for the company’s actions. Should the report not be filed for over two years, the state will administratively dissolve it.
