Filing an Annual Report is one requirement of maintaining a Limited Liability Company (LLC) or corporation in Tennessee. The Annual Report confirms and updates the company’s information yearly with the Tennessee Secretary of State.

Who Needs to File an Annual Report?

Domestic and foreign corporations and LLCs are required to file an annual report each year after the year the company was formed.

What is Needed to File a Tennessee Annual Report?

You can file your Corporation and LLC Annual Report online or by mail. To file online, visit the Tennessee Secretary of State’s website; otherwise, you can download and fill out the Annual Report.

The report asks for information such as:

  • Legal name of the entity
  • Business address
  • Federal Employer Identification Number (FEIN)
  • Contact information of the Tennessee Registered Agent
  • Name and mailing address of the principal officers, directors, members, and/or managers

Tennessee Annual Report Cost

The filing fee for an Annual Report for a Tennessee Corporation is $20. The cost to file an Annual Report for an LLC can vary depending on the number of members. For LLCs with 1-6 members, the report cost is , and an additional $50 is charged for each member. 

Annual Report Due Date

Annual Reports for Tennessee Corporations and LLCs are due by the first day of the fourth month after the end of the Corporation or LLC’s fiscal year.  Most Corporations and LLCs use the calendar year as their fiscal year, meaning the end of their fiscal year is December 31st.  For example, if your entity uses a calendar fiscal year, the due date for the Annual Report is April 1st.  

The Tennessee Secretary of State’s office sends a reminder before the Annual Report due date. Even though a reminder is sent, it’s important to make an additional reminder for yourself should you not receive it.

My business made little or no money.  Do I still have to file the Tennessee Annual Report?

Even if your Tennessee LLC or corporation received no income or business activity, the Annual Report still needs to be filed.

What happens if you don’t file the Tennessee Annual Report on time?

While there are no late fees if the Annual Report isn’t filed on time, the Tennessee Secretary of State may administratively dissolve the entity if the report isn’t filed within two months of the due date.
